General Business Law: Serve as outside general counsel to a number of small-to-medium business clients; advise, negotiate and draft buy-sell agreements and merger and acquisition agreements; perform a variety of contract negotiations; handle stock and asset purchase transactions; conduct related business litigation/collection matters; and render general legal advice on a variety of business and corporate questions.
General Corporate Law: Counsel clients regarding form of business entity for organizational purposes; organize and form start-up corporations, limited liability companies, general and limited partnerships; prepare stockholder agreements; supervise and monitor corporate meetings and minutes; advise companies and their principals regarding corporate duties, including preparation of annual and special minutes of directors and shareholders; advice concerning minority and majority shareholder and/or partner rights, including rights to business information and stock records; render advice and draft employee policy manuals; assist with employee claims before the EEOC or Texas employment commissions; and render advice on a variety of miscellaneous officer, director, shareholder, creditor and employee rights.
